Terms of Use

1. About us

Draw Dot Inc. operates under the trade name Colour & Code, a fractional creative services agency based in Lindsay, Ontario, Canada. We provide graphic design, branding, website design and development, digital marketing, social media management, and AI services to businesses on a subscription or project basis.

2. Subscriptions and billing

Subscription plans are billed monthly or annually as selected at signup. Unless a separate written contract specifies otherwise, subscriptions are month-to-month and you may cancel at any time. Cancellations take effect at the end of the current billing period. Where a fixed-term contract is in place, the terms of that contract govern cancellation.

3. No refunds

All fees paid are non-refundable. This includes subscription fees for partial months, unused capacity, and any project deposits or payments already made. We do not issue refunds under any circumstances unless required by applicable law.

4. Ownership of work

All creative work, designs, code, and deliverables produced by Colour & Code remain the sole property of Draw Dot Inc. until payment has been received in full. Upon receipt of full payment, ownership of the final approved deliverables transfers to you for your agreed use.

Notwithstanding the above, the following always remain the exclusive property of Draw Dot Inc., regardless of payment:

• All methods, processes, and workflows used to produce the work
• All source files, working files, and native design files
• Any underlying frameworks, templates, or tools developed by us

Clients receive final-format deliverables (e.g. exported files, live websites) as specified in their service agreement. Source files are not transferred unless explicitly agreed to in writing and subject to a separate fee.

5. Revisions

Revisions are included in our service as a reasonable part of the creative process. “Reasonable” means revisions that refine or adjust work within the original agreed scope. Requests that represent a change in direction, scope, or concept may be treated as new work and quoted accordingly. We will always communicate clearly before any additional charges are applied.

6. Your responsibilities

You agree to provide accurate information, timely feedback, and any necessary materials (such as brand assets, copy, images, or access credentials) needed for us to deliver work. Delays caused by late approvals or missing materials may affect project timelines and are not our responsibility.

You represent and warrant that any content or materials you provide to us do not infringe any third-party intellectual property rights.

7. Portfolio use

We reserve the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing prior to project completion.

8. Acceptable use of this website

You agree not to use this website to transmit harmful, misleading, or unlawful content, or to attempt to gain unauthorised access to any system or data. We reserve the right to restrict access to this site at our discretion.

9. Limitation of liability

To the maximum extent permitted by applicable law, Draw Dot Inc. shall not be liable for any indirect, incidental, or consequential damages arising from your use of our website or services. Our total liability for any claim related to our services shall not exceed the total fees paid by you in the three months preceding the claim.

10. Disclaimer

This website and its content are provided “as is” without warranties of any kind, express or implied. We do not guarantee that the site will be error-free or continuously available.

11. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.

12. Changes to these terms

We may update these terms from time to time. The effective date at the top of this page will reflect the most recent revision. Continued use of our website or services after changes are posted constitutes your acceptance of the updated terms.
